Indemnity Clause for Airport Transfer Services
- Scope of Service: Yellow Sands Luxury Villas Inc. (hereinafter referred to as “ Yellow Sands ”) offers airport transfer services to its guests through third-party taxi service providers. Yellow Sands acts solely as a facilitator for arranging these transfers and does not operate the transfer services itself.
- Indemnification: The guest (hereinafter referred to as “Guest”) agrees to indemnify, defend, and hold harmless Yellow Sands, its owners, managers, partners, agents, employees, and affiliated companies from and against any and all claims, liabilities, damages, losses, costs, expenses, fees (including reasonable attorneys’ fees) that such parties may incur as a result of or arising from the Guest’s use of the airport transfer services. This indemnification extends to any incident or occurrence during the transfer, including but not limited to personal injury, death, property damage, and delays.
- Third-Party Services: The Guest acknowledges that the airport transfer services are provided by third-party taxi service providers, and Yellow Sands is not responsible for the actions, errors, omissions, representations, warranties, breaches, or negligence of any such providers or for any personal injuries, death, property damage, or other damages or expenses resulting therefrom.
- Insurance: Yellow Sands recommends that the Guest procure adequate travel insurance that covers risks associated with the use of third-party transport services.
- Limitation of Liability: In no event will Yellow Sands be liable for any direct, indirect, punitive, incidental, special, or consequential damages arising out of or in any way connected with the use of the airport transfer services, whether based on a theory of negligence, contract, tort, strict liability, consumer protection statutes, or otherwise, even if advised of the possibility of such damages.
- Acknowledgement: By accepting the airport transfer services, the Guest acknowledges and agrees to this indemnity clause, and understands its terms and implications.
