Indemnity Clause for Facilitated Activities and Excursions
- Description of Services: Yellow Sands Luxury Villas Inc. (hereinafter referred to as “Yellow Sands”) facilitates various activities and excursions (hereinafter referred to as “Activities”) for its guests by coordinating with third-party service providers. Yellow Sands acts solely as an intermediary in organizing these Activities and does not directly conduct or operate them.
- Indemnification: The guest (hereinafter referred to as “Guest”) agrees to indemnify, defend, and hold harmless Yellow Sands, its owners, managers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, expenses (including reasonable legal fees) that may arise from the Guest’s participation in any Activities. This indemnification covers, but is not limited to, personal injuries, death, property damage, and any other liabilities incurred during or as a result of participation in the Activities.
- Third-Party Services: The Guest acknowledges that the Activities are conducted by third-party service providers and that Yellow Sands is not responsible for the actions, errors, omissions, representations, warranties, breaches, or negligence of any such providers. Yellow Sands shall not be liable for any injuries, death, property damage, or other damages or expenses resulting from the Guest’s participation in these Activities.
- Assumption of Risk: The Guest acknowledges and accepts the inherent risks associated with the Activities, which may include physical exertion, exposure to the elements, and other risks. By participating in the Activities, the Guest assumes all responsibility for any risks and waives any claims against Yellow Sands related to such risks.
- Insurance: The Guest is advised to obtain adequate insurance coverage that specifically covers the risks associated with the Activities, including travel insurance and personal liability insurance.
- Limitation of Liability: In no event shall Yellow Sands be liable for any direct, indirect, punitive, incidental, special, or consequential damages, or any damages whatsoever arising out of or connected with the Guest’s participation in the Activities, whether based on contract, tort, negligence, strict liability, or otherwise.
- Acknowledgement and Acceptance: By participating in any Activities facilitated by Yellow Sands, the Guest acknowledges having read and understood this indemnity clause and agrees to be bound by its terms.
